This End User License Agreement ("EULA") governs your installation and use of RodeoStat's downloadable and installable software, including RodeoStat Announce (desktop, tablet, and mobile), RodeoStat Pro Stats (desktop), and RodeoStat Handsets (Android) (the "Software").
This EULA is between you and RodeoStat LLC, a Wisconsin limited liability company ("RodeoStat," "we," "us"). It supplements the Terms of Service, which are incorporated by reference and also apply to your use of the Software and the services it connects to. Where this EULA and the Terms conflict regarding installed software, this EULA controls.
By installing, copying, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.
1. License Grant
Subject to this EULA, the Terms of Service, and your payment of applicable fees, RodeoStat grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software in object code form, for your internal business or personal use, during your active subscription term.
Unless your plan expressly states otherwise: one subscription permits one signed-in device at a time. You may install the Software on multiple devices you control, but concurrent signed-in use is limited to one device.
The Software is licensed, not sold. RodeoStat's licensors, including RodeoStat IP Enterprises LLC, an affiliate, retain all right, title, and interest in the Software, and all rights not expressly granted are reserved.
2. Restrictions
You may not, and may not permit anyone else to:
- Copy the Software except as reasonably necessary for installation, backup, and use as licensed
- Distribute, sell, rent, lease, lend, sublicense, or provide the Software to any third party, including as a service bureau
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the limited extent applicable law prohibits this restriction
- Modify, adapt, or create derivative works of the Software
- Remove, alter, or obscure any proprietary notices
- Circumvent or disable license verification, device limits, or other technical protections
- Use the Software to develop a competing product
- Use the Software in violation of the Terms of Service, including Section 10 (Acceptable Use) and Section 13A (Wagering)
3. Accounts, Activation, and Verification
The Software requires a RodeoStat account and periodically verifies your license status over the internet. Extended inability to verify may limit functionality until verification succeeds. Sharing credentials to circumvent device limits is a material breach.
4. Offline Use and Local Data
Certain Software functions offline. Data cached locally may become stale and may not reflect current results or standings. You are responsible for the physical and digital security of devices holding cached RodeoStat data. On termination or expiration of your license, you must delete locally cached RodeoStat data and cease use of the Software.
5. Updates
We may provide updates, patches, and new versions, which may install automatically. Updates are part of the Software and governed by this EULA. We may require a minimum version for continued connection to the services. We have no obligation to maintain compatibility with any particular hardware, operating system, or third-party console, though we work to support the configurations we document.
6. Diagnostic and Usage Data
The Software transmits diagnostic, crash, device, and feature-usage information to us as described in our Privacy Policy. This data is used to operate, secure, and improve the Software.
7. Third-Party Components and Interoperability
The Software may interoperate with third-party hardware and software, including timing consoles and scoreboard systems such as FarmTek and DakStats products. RodeoStat is independent and is not affiliated with, endorsed by, or sponsored by Daktronics, FarmTek, or any console or scoreboard manufacturer. Third-party names are used for identification and compatibility description only. Your use of third-party products is governed by their terms, and we are not responsible for them.
8. Term and Termination
This EULA is effective until terminated. It terminates automatically when your subscription ends or when the Terms of Service terminate, and we may terminate it immediately on your material breach. On termination, the license in Section 1 ends, and you must uninstall the Software and delete cached data as described in Section 4. Sections 2, 4 (final sentence), and 9–12 survive.
9. Disclaimers and Limitation of Liability
The Software is provided "AS IS." The disclaimers in Section 17 of the Terms of Service, including the disclaimer of accuracy and the prohibition on relying on the Software for official scoring, payout, qualification, or eligibility decisions, and the limitations of liability in Section 18 of the Terms of Service apply in full to the Software and are incorporated here.
10. Export and Government Use
You must comply with applicable export laws. The Software is "commercial computer software" under FAR 12.212 and DFARS 227.7202; government users acquire only the rights granted to other users.
11. Geographic Availability
The Software is offered only in the Authorized Territories defined in Section 2.3 of the Terms of Service.
12. General
This EULA is governed by Wisconsin law as provided in Section 22 of the Terms of Service, and disputes are resolved as provided in Section 21 of the Terms of Service (including its arbitration agreement, class action waiver, and opt-out right). If any provision is unenforceable, the remainder continues. This EULA, together with the Terms of Service and the documents they incorporate, is the entire agreement regarding the Software.
